FAQ
Where can I find all current Oregon Secretary of State business forms?
Current business-entity forms are posted on the Business Registration Forms page. The forms are grouped by entity type, and the page indicates when an online filing option is available.
The current filing charges are listed on the Business Registry Fee Schedule. Oregon’s online filing options are routed from the business registration, renewal, update, and reinstatement pages.
Is the registered agent consent form required to be filed with the Oregon Secretary of State?
Oregon does not publish a separate registered agent consent form for ordinary business registrations. The business identifies the registered agent in the formation, authority, or information-change filing itself.
Oregon’s registered-agent guidance requires that the person or entity named as registered agent has consented to serve. If an individual is listed without consent, the public guidance says that individual may deliver a signed written statement to the Corporation Division stating that the person is not associated with the business and never consented to serve.
What form is used to change a registered agent in Oregon?
Corporations, nonprofit corporations, and LLCs use Corporation/Limited Liability Company – Information Change, and domestic and foreign limited partnerships use Limited Partnership – Information Change. Each of those filings has a $0.00 processing fee.
Online updates are offered for corporations, nonprofits, and LLCs through Update Registration. Filings are also accepted by mail at Secretary of State, Corporation Division, 255 Capitol St. NE, Suite 151, Salem, OR 97310-1327, in person at Secretary of State, Corporation Division, 255 Capitol St. NE, Suite 151, Salem, OR 97310-1327, and by fax at (503) 378-4381.
Corporation Division contact information is (503) 986-2200 and CorporationDivision.SOS@sos.oregon.gov.
What is the difference between the entity-filed change form and the agent-filed change form in Oregon?
The current public Oregon form set shows entity-filed change forms for registered-agent and registered-address updates. That is why corporations, nonprofits, and LLCs use the Information Change form and limited partnerships use the LP Information Change form.
A separate public agent-filed own-name or own-address change form is not shown in the current PDF set. The fee schedule lists a $0.00 global registered-agent-only address change, but the public forms currently available do not expose a separate PDF for that filing.
Is there a fee to form a nonprofit corporation in Oregon?
Yes. Articles of Incorporation – Nonprofit carry a $50.00 filing fee.
That is lower than the $100.00 filing fee for Articles of Incorporation – Business/Professional. The public fee schedule does not list a separate business-registry convenience fee.
What forms are used to register an out-of-state LLC in Oregon?
An out-of-state LLC uses Application for Authority to Transact Business – Foreign Limited Liability Company. The filing fee is $275.00, and the filing identifies the Oregon registered agent and the registered agent’s Oregon street address.
The current public Oregon materials do not publish a separate quantified late-registration penalty for foreign LLC authority filings. Annual renewal is required after registration.
What forms are used to form or register a partnership in Oregon?
A domestic limited partnership uses Certificate of Limited Partnership, and a foreign limited partnership uses Application for Registration – Foreign Limited Partnership. Those filings cost $100.00 for the domestic filing and $275.00 for the foreign filing, and both forms identify the registered agent and the registered agent’s Oregon street address.
A domestic LLP uses Application for Registration – Limited Liability Partnership, and a foreign LLP uses Application for Authorization – Foreign Limited Liability Partnership. Those filings cost $100.00 for the domestic filing and $275.00 for the foreign filing, and Oregon does not use a per-partner fee formula on the current public LLP forms.
A limited partnership filing creates or registers the LP itself. An LLP filing registers LLP status for the named partnership rather than creating a limited partnership.
The current public Oregon form set does not show a separate LLLP filing form or a general partnership statement of authority form. The current public partnership forms also do not state a dual-filing rule for a foreign LLLP.
Can I file Oregon SOS forms online?
Yes. Oregon offers online filing through its business registration pages for new registrations, annual renewals, many updates, and many reinstatements. The Register a Business page is used for new filings, and the Reinstate a Business page states that reinstatement for an administratively dissolved entity of less than five years can be done online or with a paper form.
The Update Registration page states that corporations, nonprofits, and LLCs can update registration online after logging in. Limited liability companies, business corporations, nonprofits, and limited partnerships are usually able to reinstate online.
The public business-registry materials do not list an expedited business-filing option. The current fee schedule also does not list a separate business-registry convenience fee.
